Legal Agreement

This Legal Agreement ("Agreement") is entered into by and between you (referred to herein as "User" or "Client") and Produce UI Agency ("Agency") regarding the use of our web design, web development, and Webflow development services. By engaging with our services, you agree to comply with the terms and conditions outlined in this Agreement.

Service Scope:

Produce UI Agency agrees to provide web design, web development, and Webflow development services as agreed upon in the project scope. The User agrees to provide any necessary information and access required for the successful completion of the project.

Intellectual Property:

All intellectual property rights associated with the services provided by Produce UI Agency, including but not limited to designs, code, and other materials, remain the exclusive property of the Agency unless otherwise specified in writing.

Confidentiality:

Both parties agree to keep confidential any proprietary or sensitive information obtained during the course of the project. This includes, but is not limited to, business strategies, trade secrets, and project details.

Payment Terms:

The User agrees to the payment terms outlined in the project proposal or agreement. Failure to adhere to these terms may result in a suspension of services until payment is received.

Termination:

Either party may terminate this Agreement with written notice if the other party breaches any material term of this Agreement. Upon termination, the User is responsible for any outstanding payments for services rendered.

Liability:

Produce UI Agency is not liable for any indirect, incidental, or consequential damages arising out of or in connection with the use of our services.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India, and any disputes arising under or in connection with this Agreement shall be resolved in the courts of the State of Tamil Nadu.

Amendments:

Produce UI Agency reserves the right to amend this Agreement at any time. Users will be notified of any changes, and continued use of our services constitutes acceptance of the updated terms.
